1. Acceptance of terms

By creating an account, accessing, or using Adwyre ("Service," "we," "us," or "our"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Adwyre.

You must be at least 18 years old and have the legal authority to enter into contracts to use this Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of service

Adwyre is a software-as-a-service (SaaS) platform that assists users in creating, configuring, and launching advertising campaigns on Meta platforms (Facebook and Instagram) through Meta's Marketing API. The Service uses artificial intelligence to generate ad copy, targeting suggestions, and campaign settings.

What we provide

• AI-assisted ad copy and campaign strategy generation
• A user interface for building Meta ad campaigns
• Integration with Meta's Marketing API to publish campaigns
• A dashboard for monitoring campaign performance data
• AI-powered customer support chat

What we do not provide

• Guarantees of ad performance, results, or return on ad spend (ROAS)
• Management of your Meta Ads account beyond what you explicitly authorize
• Legal, financial, or business advice
• Any guarantee that campaigns will be approved by Meta

3. User responsibilities and ad spend

You agree to:

• Review all campaign settings, targeting, budgets, and copy before clicking Launch
• Maintain sufficient funds or credit in your Meta Ads account
• Comply with Meta's Advertising Policies, Community Standards, and Terms of Service
• Ensure all ad content, products, and services advertised comply with applicable laws
• Not use the Service to run ads for prohibited products or services including but not limited to: illegal products, misleading claims, discriminatory targeting, adult content, counterfeit goods
• Keep your account credentials secure and notify us immediately of unauthorized access

Adwyre is not responsible for any ad spend, charges, or fees incurred on your Meta Ads account, including as a result of campaigns launched through our platform.

4. AI-generated content disclaimer

The Service uses artificial intelligence to generate ad copy, headlines, targeting suggestions, and campaign strategies. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or content unsuitable for your specific use case
• You are solely responsible for reviewing, editing, and approving all AI-generated content before use
• AI-generated content does not constitute professional marketing, legal, or business advice
• We make no warranties regarding the accuracy, effectiveness, or suitability of AI-generated content
• The same or similar content may be generated for other users

5. Subscription, billing & trial

Adwyre offers paid subscription plans billed monthly. All plans include a 7-day free trial period.

Free trial

Your free trial begins on the date you create your account and select a plan. You will not be charged during the 7-day trial period. On day 8, your selected plan's subscription fee will be automatically charged to your payment method on file. You may cancel at any time before day 8 to avoid being charged.

Subscription billing

• Subscriptions auto-renew monthly on the same date each month
• You authorize us to charge your payment method on a recurring basis
• Prices are in USD and subject to change with 30 days' notice
• Failed payments may result in service suspension

Cancellation

You may cancel your subscription at any time. Upon cancellation: (a) you retain access through the end of your current billing period; (b) your campaigns will be paused on Meta immediately; (c) all campaign data, settings, creatives, and targeting will be permanently deleted after 7 days. Deleted data cannot be recovered. See our Refund Policy for details on charges.

6. Meta platform & third-party services

Adwyre integrates with Meta's Marketing API and other third-party services. You acknowledge that:

• Your use of Meta platforms is governed by Meta's Terms of Service and Advertising Policies, which are separate from these Terms
• Adwyre is an independent platform and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
• Meta may reject, remove, or disapprove any campaign at their sole discretion
• Adwyre is not responsible for Meta's decisions regarding your campaigns or ad account
• Meta may change or discontinue their API at any time, which may affect our Service
• You are responsible for your own Meta Business Manager account and compliance with Meta's policies

7. Intellectual property

The Adwyre platform, including its software, design, trademarks, and content, is owned by Adwyre and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

Ad copy, headlines, and campaign content generated by our AI on your behalf are provided to you for your use. However, Adwyre retains no liability for any intellectual property claims arising from AI-generated content. You are responsible for ensuring generated content does not infringe third-party rights.

8. Limitation of liability

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to Adwyre in the 3 months preceding the claim.

This limitation applies regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any specific ad results, ROAS, or campaign performance will be achieved; (c) AI-generated content will be accurate, complete, or suitable for your purposes; (d) the Service will be compatible with your systems or third-party platforms.

10. Indemnification

You agree to indemnify, defend, and hold harmless Adwyre and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) campaigns you create or launch through the Service; (e) any content you submit or advertise through the platform.

11. Termination

We may suspend or terminate your account at any time for: violation of these Terms, violation of Meta's policies, fraudulent activity, chargebacks, or any activity that poses risk to the platform or other users. Upon termination, your access ends immediately and campaign data will be deleted within 7 days.

12. Governing law & disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Miami, Florida, except that either party may seek injunctive relief in court for intellectual property violations.

13. Changes to terms

We may update these Terms at any time. We will notify you by email and by posting a notice in the platform. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

1. Information we collect

Account information

• Name, email address, and password when you sign up
• Billing information processed securely through Stripe (we never store full card numbers)
• Profile preferences and settings

Campaign data

• Business name, product descriptions, and ad copy you enter
• Campaign settings, budgets, targeting, and creatives you create
• Performance data synced from your Meta Ads account (spend, impressions, clicks, conversions)

Meta account data

• Meta access tokens (OAuth) required to create campaigns on your behalf — stored encrypted
• Your Meta Ad Account ID and Business Page information
• Instagram posts accessed when you use the IG Post Picker feature

Usage data

• Pages visited, features used, and actions taken within the platform
• Browser type, IP address, and device information
• Support chat conversations with our AI assistant

2. How we use your information

• To operate the Service and create campaigns on your behalf via Meta's API
• To process payments and manage your subscription through Stripe
• To provide AI-generated campaign copy using your business details
• To sync and display your campaign performance data in the dashboard
• To send transactional emails (receipts, trial reminders, campaign confirmations)
• To provide customer support
• To improve the platform and train our systems (anonymized and aggregated only)

We do not sell your personal data to third parties. We do not use your data for advertising to you on other platforms.

3. Data sharing

We share your data only with:

• Meta Platforms, Inc. — to create and manage campaigns on your behalf. Your use of Meta's services is also governed by Meta's Privacy Policy.
• Stripe, Inc. — to process payments. Stripe's Privacy Policy applies to payment data.
• Anthropic, PBC — AI responses in our platform are processed through Claude API. Conversation data may be used per Anthropic's privacy policy.
• Supabase — our database and authentication provider for secure data storage.
• Legal requirements — if required by law, court order, or to protect rights and safety.

4. Data retention & deletion

We retain your data for as long as your account is active. Upon account cancellation:

• Campaign data is deleted from Meta and Adwyre after 7 days
• Account data is retained for 30 days then permanently deleted
• Billing records are retained for 7 years as required by law

You may request immediate deletion of your data by emailing [email protected]. We will process deletion requests within 30 days.

5. Security

We implement industry-standard security measures including: TLS/SSL encryption for all data in transit, AES-256 encryption for stored access tokens, bcrypt hashing for passwords, and role-based access controls. However, no system is 100% secure and we cannot guarantee absolute security.

6. Your rights

Depending on your location, you may have rights including: access to your data, correction of inaccurate data, deletion of your data, data portability, and objection to processing. To exercise these rights, email [email protected].

California residents have additional rights under CCPA. EU/UK residents have rights under GDPR. Contact us for region-specific requests.

7. Cookies

We use essential cookies for authentication and session management, and analytics cookies to understand platform usage. You can disable non-essential cookies in your browser settings, though this may affect platform functionality.

Free trial policy

All Adwyre plans include a 7-day free trial. You will not be charged during this period. If you cancel before day 8, you owe nothing — no charge will be made.

If you forget to cancel and are charged on day 8, contact us within 48 hours at [email protected] and we will issue a full refund as a one-time courtesy, no questions asked.

Subscription refunds

After the trial period, Adwyre subscriptions are non-refundable except in the following circumstances:

• Duplicate charge: If you were charged twice for the same billing period, we will refund the duplicate charge immediately.
• Service outage: If the platform was unavailable for more than 72 consecutive hours in a billing period, you may request a pro-rated credit.
• Technical failure: If a campaign failed to launch due to a verified bug in our platform (not Meta's systems), we will review refund requests case by case.
• Unauthorized charge: If your account was compromised and charges were made without your authorization, contact us immediately.

Meta ad spend

Adwyre does not control or collect Meta advertising spend. All ad spend is charged directly by Meta Platforms, Inc. to your payment method on file with your Meta Ads account. We have no ability to refund Meta ad spend. For ad spend refunds, contact Meta Business Support directly.

How to request a refund

Email [email protected] with your account email, the charge date, amount, and reason for the refund request. We respond within 2 business days. Approved refunds are processed within 5–10 business days back to your original payment method.

Chargebacks

If you initiate a chargeback with your bank or credit card company, your account will be suspended immediately pending resolution. We encourage you to contact us directly to resolve billing issues before initiating chargebacks, as we are happy to work with you to find a fair resolution.

No guarantee of results

Adwyre provides tools to help create and launch Meta advertising campaigns. We make no guarantees of any kind regarding advertising performance, including but not limited to:

• Return on ad spend (ROAS) or profitability
• Number of impressions, clicks, leads, or conversions
• Cost per click (CPC) or cost per acquisition (CPA)
• Campaign approval by Meta
• Audience reach or targeting accuracy
• Competitiveness in Meta's ad auction

Ad performance depends on many factors outside our control including market conditions, competition, your product, landing page quality, audience behavior, and Meta's algorithm changes.

Not a licensed agency

Adwyre is a software tool, not a licensed advertising agency, marketing firm, or financial advisor. Nothing on this platform or generated by our AI constitutes professional marketing advice, financial advice, or a guarantee of business outcomes. Results shown in testimonials, case studies, or examples are not typical and individual results will vary.

AI content accuracy

AI-generated copy, targeting suggestions, and campaign strategies are generated by large language models and may:

• Contain factual inaccuracies or outdated information
• Be unsuitable for your specific product, audience, or market
• Fail to comply with industry-specific advertising regulations (finance, healthcare, legal, etc.)
• Include generic language not optimized for your brand voice

You must review all AI-generated content before use. You are solely responsible for the accuracy and appropriateness of any content you publish.

Meta platform dependency

Our Service depends on Meta's Marketing API. We are not affiliated with Meta Platforms, Inc. Meta may: change or discontinue their API, reject or remove your campaigns, suspend your ad account, or modify their advertising policies at any time. Adwyre has no control over Meta's decisions and is not responsible for any impact on your campaigns resulting from Meta's actions.

Regulatory compliance

You are solely responsible for ensuring your advertising campaigns comply with all applicable laws and regulations in your jurisdiction and target markets, including but not limited to: FTC advertising guidelines, GDPR and CCPA data regulations, industry-specific advertising regulations (finance, healthcare, supplements, alcohol, etc.), and Meta's Advertising Policies. Adwyre does not provide legal compliance review of your campaigns.
